The corporate law team at our firm is composed of lawyers specialized in technology and innovation companies, whether startups or companies well-established in these areas. In addition to our practice concerning technology agreements between Brazilian and international companies, our firm further engages in the legal structuring and design of businesses and in the preparation of companies for the attraction of investments. Our practice within this scope includes: • drafting of organizational documents and contracts to incorporate companies following the best and safest legal standards available for technology and innovation; • provision of guidance on and drafting of good corporate governance policies; • drafting and implementation of good governance agreements with investors (stock option pool, rules for converting investments into equity, among other relevant clauses in the relationship with investors); • guidance on implementation of agreements targeted at intellectual property protection, regulation of dividend distributions, internal attributions of each participant, and other relevant clauses for the legal structuring of startups.
